Thank you for visiting www.theartcocoon.com (the “Site”) owned and operated by Cocoon LLC (“The Art Cocoon” or “we” or “us”). This Terms of Use Agreement ("Terms") sets forth the standards of use of the Site. Your use of the Site indicates that you (“you” or the “Member”) have read, understood and agree to these Terms. If you do not agree to these Terms, you may immediately cease all usage of the Site. We reserve the right, at any time, to modify, alter, or update the Terms from time to time without notice to you. We encourage you to check our Site frequently to see the current Terms in effect and if any changes that may have been made to them. By using the Site following any modifications to the Terms, you agree to be bound by such modifications. Modifications shall become effective immediately upon being posted at the Site. Except as provided in this paragraph, this Agreement may not be amended.

Use of the Site

You must be at least 18 years of age to use the Site. The Art Cocoon provides you with access to and use of the Site subject to your compliance with the Terms and the Site's Privacy Policy. No material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except for as specifically allowed in the Site. The Site, including all of its contents, such as text, images, and the HTML used to generate the pages ("Materials"), are our property or that of our suppliers, partners, or licensors and are protected by patent, trademark and/or copyright under United Arab Emirates and/or foreign laws. Except as otherwise provided herein, you may not use, download, upload, copy, print, display, perform, reproduce, publish, modify, delete, add to, license, post, transmit, or distribute any Materials from this Site in whole or in part, for any public or commercial purpose without our specific written permission. We grant you a personal, non-exclusive, non-transferable license to access the Site and to use the information and services contained here.

Description of Service

The Art Cocoon is providing Member with access to buy artwork. Each Member must provide: all equipment necessary for his or her own Internet connection and provide for Member’s access to the Internet, and pay any fees related to such connection.

Rules and Limits on and Modifications to the Site

We reserve the right, for any reason, in our sole discretion and without notice to you, to terminate, change, suspend or discontinue any aspect of the Site, including, but not limited to, information, products, data, text, music, sound, photographs, graphics, video, messages or other materials ("Content"), features and/or hours of availability, and we will not be liable to you or to any third party for doing so. We may also impose rules for and limits on use of the Site or restrict your access to part, or all, of the Site without notice or penalty. We have the right to change these rules and/or limitations at any time, in our sole discretion.

Security Rules

Violations of system or network security may result in civil or criminal liability. We will investigate occurrences and may involve, and cooperate with, law enforcement authorities in prosecuting the user or users who are involved in such violations. You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, the following: Accessing data not intended for you or logging into a server or account which you are not authorized to access;Attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;Attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus, worm, Trojan Horse or other harmful code to the Site, overloading, "flooding", "mailbombing" or "crashing"; or sending unsolicited e-mail, including promotions and/or advertising of products or services, or Forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.

Botnets

The Art Cocoon retains the right, at our sole discretion, to terminate any accounts involved with botnets and related activities. If any hostnames are used as command and control points for botnets, The Art Cocoon reserves the right to direct the involved hostnames to a honeypot, loopback address, logging facility, or any other destination at The Art Cocoon’s discretion.

In the course of your use of the Site, you may be asked to provide certain information to us. Our use of any information you provide via the Site shall be governed by our Privacy Policy available here. You acknowledge and agree that you are solely responsible for the accuracy and content of such information.

International Use

We do not represent that Materials on the Site are appropriate or available for use in your location. You choose to access the Site from your location in your own initiative, and you are responsible for compliance with the local laws of your location, if and to the extent local laws are applicable. You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site. Without limiting the generality of the foregoing, you agree to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.

Proprietary Rights

As between you and The Art Cocoon (or other company whose marks appear on the Site), The Art Cocoon (or the respective company) is the owner and/or authorized user of any trademark, registered trademark and/or service mark appearing on the Site, and is the copyright owner or licensee of the Content and/or information on the Site, unless otherwise indicated.

Except as otherwise provided herein, use of the Site does not grant you a license to any Content, features or materials you may access on the Site and you may not modify, rent, lease, loan, sell, distribute or create derivative works of such Content, features or materials, in whole or in part. Any commercial use of the Site is strictly prohibited, except as allowed herein or otherwise approved by us. You may not download or save a copy of any of the Content or screens for any purpose except as otherwise provided by The Art Cocoon. If you make use of the Site, other that as provided herein, in doing so you may violate copyright and other laws of the United Arab Emirates, and other countries applicable laws and may be subject to liability for such unauthorized use. We do not grant any license or other authorization to any user of our trademarks, registered trademarks, service marks, other copyrightable material or any other intellectual property by including them on the Site. The information on the Site including, without limitation, all site design, text, graphics, interfaces, and the selection and arrangements is protected by law including copyright law. Product names, logos, designs, titles, graphics, words or phrases may be protected under law as the trademarks, service marks or trade names of Cocoon LLC, or other entities. Such trademarks, service marks and trade names may be registered in the United Arab Emirates and internationally. Without our prior written permission, you agree not to display or use our trademarks, service marks, trade names, other copyrightable material or any other intellectual property in any manner.

Links from and to the Site

You may be able to link to third party websites ("Linked Sites") from the Site. Linked Sites are not, however, reviewed, controlled or examined by us in any way and we are not responsible for the content, availability, advertising, products, information or use of user information or other materials of any such Linked Sites, or any additional links contained therein. Links to such websites or resources do not imply any endorsement by The Art Cocoon of such websites or resources or the content, products, or services available from such websites or resources. It is your sole responsibility to comply with the appropriate terms of service of the Linked Sites as well as with any other obligation under copyright, secrecy, defamation, decency, privacy, security and export laws related to the use of such Linked Sites and any content contained thereon. In no event shall we be liable, directly or indirectly, to anyone for any loss or damage arising from or occasioned by the creation or use of the Linked Sites or the information or material accessed through these Linked Sites. Indemnity

You agree to defend, indemnify and hold Cocoon LLC, its directors, officers, employees, agents, vendors, partners, contractors, galleries, artists, institutions, distributers, representatives and affiliates harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys' fees, in any way arising from, related to or in connection with your use of the Site, your violation of any law, your violation of the Terms or the posting or transmission of any User Content, or materials on or through the Site by you, including, but not limited to, any third party claim that any information or materials you provide infringes any third party proprietary right. You agree to cooperate as fully as reasonably required in the defence of any claim. Your indemnification obligation will survive the termination of these Terms and your use of the Site.

Limitation of liability

Jurisdiction and acceptance of these terms and conditions

The formation, existence, construction, performance, validity in all aspects whatsoever of these Terms or of any term of these Terms or any dispute in relation to the materials contained in this website shall be governed by UAE law. The UAE courts shall have exclusive jurisdiction to settle any disputes which may arise out of or in connection with these Terms or use of this website.

Other Terms

If any provision of this Agreement shall be unlawful, void or unenforceable for any reason, the other provisions (and any partially-enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that this Agreement and any other agreements referenced herein may be assigned by The Art Cocoon in its sole discretion, to a third party in the event of a merger or acquisition. This Agreement shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to your participation as a Member. Member agrees that by accepting this Agreement, Member is consenting to the use and disclosure of his or her personally identifiable information and other practices described in the The Art Cocoon Privacy Policy found here.

Notices

The Site shall provide notices of changes to the Terms or other matters by displaying notices or links on the Site.

Consent to Processing

By providing any personal information to the Site, all users, including without limitation users in the European Union, fully understand and unambiguously consent to the collection and processing of such information in the United States. The products

The images of the Products on our site are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that your computer's display of the colours accurately reflect the colour of the Products. Your Products may vary slightly from those images and the depiction of Products with accessories, e.g. frames may be used for illustrative purposes only. You are advised to check that the Product you would like to purchase includes such accessories or not before placing the order. The packaging of the Products may vary from that shown on images on our site. All Products shown on our site are subject to availability. We will inform you by e-mail as soon as possible if the Product you have ordered is not available and we will not process your order if made.

For consumers

If you are a consumer, you may only purchase Products from our site if you are at least 18 years old. We intend to rely upon these Terms of Use and any document expressly referred to in them in relation to the Contract between you and us. While we accept responsibility for statements and representations made by our duly authorized agents, please make sure you ask for any variations from these Terms of Use to be confirmed in writing.

For business customer

If you are not a consumer, you confirm that you have authority to bind any business on whose behalf you use our site to purchase Products. These Terms and any document expressly referred to in them constitute the entire agreement between you and us. You acknowledge that you have not relied on any statement, promise or representation made or given by or on behalf of the us which is not set out in these Terms or any document expressly referred to in them.

Purchasing

The Art Cocoon and its partners strive for complete accuracy in description and pricing of the products on the Site. However, due to the nature of the internet, occasional glitches, service interruptions or mistakes may cause inaccuracies to appear on the Site. The Art Cocoon has the right to void any purchases that display an inaccurate price. If the displayed price is higher than the actual price, you may be refunded the overcharge. If the displayed price is less than the actual price, The Art Cocoon will void the purchase and attempt to contact you via either phone or email to inquire if you would like the item for the correct price. You acknowledge that temporary interruptions in the availability of the Site may occur from time to time as normal events. Also, we may decide to cease making available the Site or any portion of the Site at any time and for any reason. Under no circumstances will The Art Cocoon or its suppliers be held liable for any damages due to such interruptions or lack of availability.

How the contract is formed between you and the supplier (Artist)

This clause applies only on the Original Artwork products. For questions regarding placing an order on our site, please see our FAQs section here. The order process allows you to check and amend any errors before submitting your order to the artist (“Supplier”). Please take the time to read and check your order at each page of the order process. After you place an order, you will receive an e-mail from us acknowledging that we have received your order on behalf of the Supplier. Your order will be accepted by the Supplier or by us, when we will send you, on behalf of the Supplier, a confirmation e-mail that confirms that the Products have been dispatched (“Order Confirmation”). The Contract between the Supplier and you will only be formed when we send you the Order Confirmation. If the Supplier is unable to supply you with a Product, for example because that Product is not in stock or no longer available or because of an error in the price on our site as referred to under clause ‘The Products’, you will be informed of this by e-mail and your order will not be processed. If you have already paid for the Products, the full amount will be returned to you as soon as possible.

How the contract is formed between you and us

This clause applies only on the Limited Edition Prints products. For the steps you need to take to place an order on our site, please see our FAQs section here. Our order process allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process. After you place an order, you will receive an e-mail from us acknowledging that we have received your order. However, please note that this does not mean that your order has been accepted. Our acceptance of your order will take place as described. We will confirm our acceptance to you by sending you an e-mail that confirms that the Products have been dispatched (Dispatch Confirmation). The Contract between us will only be formed when we send you the Dispatch Confirmation. If we are unable to supply you with a Product, for example because that Product is not in stock or no longer available or because of an error in the price on our site, we will inform you of this by e-mail and we will not process your order. If you have already paid for the Products, we will refund you the full amount as soon as possible.

Delivery

Your order will be fulfilled as soon as reasonable, unless there is an Event Outside Control. We will provide you with a tracking number once the Products have been shipped. If we are unable to fulfil the delivery because of an Event Outside Control, we will contact you. Delivery will be completed when the Products are delivered to the address you gave us. The Products will be your responsibility from the completion of delivery. You own the Products once we have received payment in full, including all applicable delivery charges.

Risk of Loss

The items purchased from our Site are shipped by a third-party carrier pursuant to a shipment contract. As a result, risk of loss and title for such items may pass to you upon our delivery to the carrier.

Term; termination

These terms and conditions are applicable to you upon your accessing the Site and/or completing the registration or shopping process. These terms and conditions, or any of them, may be modified or terminated by The Art Cocoon without notice at any time for any reason. The provisions relating to Copyrights and Trademarks, Disclaimer, Claims, Limitation of Liability, Indemnification, Applicable Laws, Arbitration and General, shall survive any termination.

International Shipping

You acknowledge that there are restrictions on some Products for certain International Delivery Destinations and when ordering Products from our site for delivery to an International Delivery Destinations, your order may be subject to import duties and taxes which are applied when the delivery reaches that destination. You acknowledge that we have no control over these charges and we cannot predict their amount. You agree that you shall be responsible for payment of any such import duties and taxes. You acknowledge that is your responsibility to contact your local customs office for further information before placing your order. You agree to comply with all applicable laws and regulations of the country for which the Products are destined. We shall not be liable or responsible if you break any such law. Personal Information You Provide Us

Information Collected Automatically

Server Statistics: Like many Web sites, we automatically collect general statistics about our Website traffic and store it in log files in order to track usage and user trends on our Website. This information includes hits to our server, browser type, Internet service provider (ISP), page views, navigational patterns, operating system, date/time stamp, clickstream data and the numbers and frequency of visitors to our Website. We may receive a confirmation when you open an email from us. This confirmation helps us make emails more interesting and improve our service. If you do not want to receive email or other mail from us, simply click on “Unsubscribe me from this list” at the bottom of any newsletter.

How We Use Your Information

We neither rent nor sell your Personal Information to anyone. We share your Personal Information in personally identifiable form only as described below and for the mentioned purposes.

To personalize user experience: We may use information in the aggregate to understand how our Users as a group use the services and resources provided on our Website.

Promotional Offers: We may send offers to certain users on behalf of other businesses. However, when we do so, we do not give the other business your name and address. If you do not wish to receive these offers, please send us an email at support@theartcocoon.com.

RETURN POLICY

If for any reason you are not satisfied with your artwork purchase, you may request for refund within 14 days of receiving your order and get a full refund. Shipping charges will not be refunded, and return shipment costs are the responsibility of the customer. If you do decide to return your purchased artwork, our return process is easy. Please follow these steps:
1. Send us an email to support@theartcocoon.com with your order number and your details.

2. We will need to verify if your request it's eligible, and we’ll send you an approval email for you to proceed with the shipment of the returned artwork. You will have three (3) days from the day we notify you to ship the artwork through a traceable method.

3. You will be responsible for the packaging, shipping using a traceable method and insurance fees. The artwork should be packed in its' original tube or box, along with any accompanied papers such as the Certificate of Authenticity. Make a note when you first receive your order, to open the package carefully making sure you can reuse it. If you’ve already disposed of the original packaging, you’ll be responsible for purchasing packaging materials to send the artwork back safely to the artist. You can request to send you our Packaging Guidelines instructions to help you.

4. Email us all the shipping details including the tracking number to support@theartcocoon.com.

5. We will issue an approval for the refund, only after the artwork is safely received in good condition by the Artist, along with all the accompanied papers initially sent e.g. the Certificate of Authenticity. The refund will take maximum ten (10) working days counting from the day the artwork is received safely and confirmed by the artist. The amount owed will be refunded to the original source of payment in the same currency (minus shipping costs and international customs fees, if any may apply).

Additional information

The Art Cocoon is not responsible for undelivered returns.

Additional shipping fees may apply for international returns. Please note that these fees may possibly be avoided if you inform the courier that the item is a return—though we can’t guarantee this.

When do artworks not qualify for refund?

You are NOT eligible for a refund in the cases where:

1. The 14-day return period has passed without notifying us your intention to return the artwork.

Note: The 14-day return period starts from the day you receive the artwork.

2. If you do not ship the artwork within 3 days of receiving our return approval email.

3. If the item is commissioned and a customized order.

4. If the item is a final sale.

5. If the artwork is delivered

Artworks that are not eligible for return

1. Artworks stated as final sale

2. Commissioned artworks

3. Artworks altered as per the request of the client or special orders

4. Photographs and limited edition prints that are returned wrinkled, dented, or smudged due to mishandling

5. Artworks returned in not good or their original condition

6. Artworks returned without their Certificate of Authenticity

7. Artworks identified as not refundable

For Damaged Artworks

In the unfortunate event that your order arrives in less than satisfactory condition, simply take one digital photo of the item and one of the shipping container it arrived in, then attach the photos to an email and send to support@theartcocoon.com. A representative of ours will get back to you within three (3) business days on how to proceed with the case. If the courier agent is held responsible a refund of the artwork’s sale price will be issued to the same account the purchase was paid by. If the item is damaged in transit, we will cover the cost of postage.
